1. Service Presentation

nudgi is a customer reminder management and automation solution published by:

The nudgi service (hereinafter "the Service") enables businesses to:

• Manage their invoices and debtors
• Automate sending reminders by email
• Track payments and outstanding amounts
• Integrate their existing accounting tools

2. Acceptance of Terms

Access and use of the Service are subject to acceptance and compliance with these Terms of Service (ToS). By creating an account or using the Service, you acknowledge that you have read, understood and accepted these ToS in their entirety.

SAS BOUDIER reserves the right to modify the ToS at any time. Users will be informed of any substantial modification by email. Continued use of the Service after notification constitutes acceptance of the new terms.

3. Registration and User Account

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for the confidentiality of your login credentials.

3.2 Eligibility

The Service is reserved for professionals (companies, freelancers, associations) acting within the scope of their business activity. Users must have the legal capacity to enter into contracts.

3.3 Account Security

You agree to:

• Maintain the confidentiality of your password
• Immediately notify any unauthorized use
• Not share your credentials with unauthorized third parties
• Use two-factor authentication (2FA) for enhanced security

4. Description of Plans

4.1 Free Plan

The free plan includes:

• 20 active invoices maximum
• 50 reminders per month
• 5 PDF imports per month (AI)
• 1 user
• 1 reminder sequence
• 2 email templates

4.2 Paid Plans (Starter and Pro)

Paid plans are subscribed on a monthly or annual basis. The details of features are available on the pricing page of the website.

4.3 Plan Modifications

SAS BOUDIER reserves the right to modify plan contents. Users will be informed 30 days before any substantial modification.

5. Pricing and Payment

5.1 Prices

Prices are indicated in euros excluding tax (excl. VAT). Applicable VAT will be added at the time of payment according to current legislation.

5.2 Billing

Billing is performed monthly or annually depending on the chosen option. Invoices are sent by email and available in the client area.

5.3 Payment Methods

Payments are secured by Stripe. Accepted payment methods are: credit card (Visa, Mastercard, American Express).

5.4 Late Payment

In the event of late payment, SAS BOUDIER reserves the right to suspend access to the Service until payment is received.

6. Use of the Service

6.1 Authorized Use

The Service is intended for customer reminder management within the scope of a lawful professional activity that complies with applicable regulations.

6.2 Prohibited Uses

The following are strictly prohibited:

• Sending spam or unsolicited messages
• Harassing debtors
• Use for illegal activities
• Attempting to circumvent plan limits
• Unauthorized resale or sharing of accounts
• Mass data extraction (scraping)
• Any action likely to harm the functioning of the Service

6.3 Content Responsibility

You are solely responsible for the content of messages sent via the Service. You guarantee that your reminders comply with applicable legislation (notably the GDPR and rules relating to debt collection).

7. Personal Data

The processing of personal data is detailed in our Privacy Policy. By using the Service, you accept this processing.

As the data controller for your own customer data, you agree to:

• Have a legal basis for processing (e.g., contractual performance)
• Inform your debtors about the processing of their data
• Respect their rights (access, rectification, deletion)

8. Intellectual Property

8.1 Rights of SAS BOUDIER

The Service, including its code, design, text and features, is the exclusive property of SAS BOUDIER. Any unauthorized reproduction, modification or distribution is prohibited.

8.2 User Rights

You retain all rights to the data you import into the Service. SAS BOUDIER acquires no ownership rights over your data.

9. Availability and Maintenance

SAS BOUDIER strives to ensure the Service is available 24/7. However, the Service may be temporarily interrupted for maintenance or updates.

SAS BOUDIER does not guarantee absolute availability and cannot be held liable for service interruptions, except in the case of proven fault on its part.

10. Limitation of Liability

Within the limits authorized by law:

• SAS BOUDIER cannot be held liable for indirect damages (loss of revenue, data, reputation)
• The liability of SAS BOUDIER is limited to the amounts paid by the user during the last 12 months
• SAS BOUDIER is not responsible for the content of messages sent by users
• SAS BOUDIER is not responsible for decisions made by users based on information from the Service

11. Termination

11.1 Termination by User

You may cancel your subscription at any time from your client area. The cancellation takes effect at the end of the current period, without pro rata refund.

11.2 Termination by SAS BOUDIER

SAS BOUDIER may suspend or terminate an account in the event of:

• Violation of the ToS
• Abuse of the Service
• Non-payment after formal notice
• Illegal activity

11.3 Consequences of Termination

After termination, you have 30 days to export your data. After this period, data will be deleted in accordance with our privacy policy.

12. Applicable Law and Disputes

These ToS are governed by French law.

In the event of a dispute, the parties will endeavor to find an amicable solution. Failing that, the courts of Nice shall have exclusive jurisdiction.

In accordance with articles L.616-1 and R.616-1 of the French Consumer Code, in the event of a dispute, you may use the MEDICYS mediation service free of charge.

13. Miscellaneous Provisions

13.1 Severability

If any clause of the ToS is declared void, the remaining clauses shall remain applicable.

13.2 No Waiver

Failure to exercise a right provided by the ToS does not constitute a waiver of that right.

13.3 Entirety

These ToS constitute the entire agreement between you and SAS BOUDIER regarding the use of the Service.
